Terms & conditions.

These terms govern the relationship between Vertecza (Pvt) Ltd and our Clients.

1. Introduction & Scope

Vertecza (Pvt) Ltd ("Company", "we", "us") provides Software Development, IT Consulting, UI/UX Design, and related services. These Terms and Conditions ("Terms") apply to all services provided by us to our clients ("Client", "you"). By engaging our services, signing a proposal, or making a payment, you agree to be bound by these Terms.

2. Services & Engagement

Project Scope: Specific services to be provided will be detailed in a separate Proposal, Statement of Work (SOW), or Quotation agreed upon by both parties.

Change Orders: Any changes to the scope of work must be agreed upon in writing and may result in adjustments to the timeline and fees.

3. Payment Terms

Invoicing: Invoices will be issued according to the payment schedule outlined in the contract/proposal.
Payment Period: Payments are due within 14 days of the invoice date unless otherwise specified.
Late Payments: We reserve the right to suspend services if payments are significantly overdue.
Currency: All fees are quoted and payable in the currency specified in the Proposal (typically LKR or USD).

4. Intellectual Property Rights

Client Ownership: Upon full payment of all fees, the Client shall own all rights, title, and interest in the specific deliverables created for them (custom code, designs, content).

Company Rights: Vertecza retains all rights to its pre-existing code, libraries, tools, and methodologies used to create the deliverables ("Background Technology"). We grant the Client a perpetual, non-exclusive license to use such Background Technology as incorporated into the deliverables.

5. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party ("Confidential Information"). This includes business strategies, technical data, trade secrets, and customer lists. We will not disclose Client Confidential Information to third parties without prior consent, except as required by law.

6. Warranties & Liability

Warranty: We warrant that our services will be performed in a professional manner consistent with industry standards.

Limitation of Liability: To the maximum extent permitted by law, Vertecza shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profits). Our total liability for any claim arising out of these Terms shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.

7. Governing Law

These Terms are governed by the laws of Sri Lanka.
